01The Channel R App

The Channel R App provides access to digital radio, music discovery, listener participation, fan communities, and related services.

Features may include:

• Live radio
• Fan Radio
• Artist hubs
• Listening parties
• Synchronized listening
• Fan-created events
• Live chat
• Reactions
• Playlists and setlists
• Song requests
• Song recommendations
• Request upvoting
• Chart voting
• Power Votes
• Fan Quest
• Artist and song nominations
• Song and artist alerts
• User profiles
• Contests and promotions
• Radio Awards
• Premium features

Channel R may add, modify, suspend, or discontinue features at any time.

02Eligibility

You must meet the minimum age requirements applicable to the Channel R App and the laws of your jurisdiction to use the Services.

If a particular promotion, contest, or feature has additional age requirements, those requirements will apply to that feature.

By using the App, you represent that you are legally permitted to enter into these Terms.

03Your Account

Certain Channel R features require an account.

You agree to:

• Provide accurate information
• Keep your account information current
• Maintain the confidentiality of your credentials
• Not share your account in a manner that violates these Terms
• Notify Channel R if you believe your account has been compromised

You are responsible for activity occurring through your account unless the activity resulted from Channel R's failure to reasonably protect the account.

Channel R may suspend or terminate accounts that violate these Terms or are used for fraudulent, abusive, or unauthorized activity.

04Fan Radio

Fan Radio is a community and social-listening feature within the Channel R App.

Depending on availability, Fan Radio may allow you to:

• Participate in artist hubs
• Join listening parties
• Participate in synchronized listening
• Create or join fan events
• Chat with other fans
• React to music or events
• Create playlists
• Create setlists
• Participate in artist-related activities

Fan Radio is intended for lawful, respectful, and genuine fan participation.

You agree not to use Fan Radio to:

• Harass or threaten other users
• Impersonate another person or organization
• Spam other users
• Distribute malicious software
• Publish unlawful content
• Publish content that infringes another person's rights
• Attempt to manipulate Fan Radio activity
• Use automated systems to generate artificial participation
• Interfere with the operation of Fan Radio

Channel R may moderate, remove, restrict, or disable content, events, accounts, or other activity that violates these Terms.

05Chat, Comments and Community Content

Channel R may provide chat, comments, reactions, or similar community features.

You are responsible for content you submit.

You agree not to submit content that:

• Is unlawful
• Is threatening or abusive
• Harasses another person
• Is fraudulent or deceptive
• Infringes intellectual-property rights
• Contains malicious code
• Impersonates another person
• Attempts to obtain another user's private information
• Contains spam or unauthorized advertising
• Is intended to manipulate or disrupt Channel R
• Violates applicable law

Channel R does not guarantee that all user-generated content will be reviewed before publication.

We may remove content or restrict access when we reasonably believe action is necessary to protect Channel R, our users, or the operation of the Services.

06User Content

You retain ownership of original content you submit to Channel R, subject to the rights granted below.

By submitting content to Channel R, including comments, chat messages, playlists, setlists, fan events, photos, recommendations, requests, or other material, you grant Channel R a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, modify as reasonably necessary for technical purposes, and use that content in connection with operating, promoting, and improving the Channel R Services.

This license continues for as long as reasonably necessary for Channel R to operate the Services and for legitimate archival, legal, security, or promotional purposes, subject to applicable law.

You represent that:

• You have the rights necessary to submit the content
• Your content does not violate these Terms
• Your content does not unlawfully infringe another person's rights

Channel R may remove submitted content at any time when reasonably necessary.

07Song Requests and Recommendations

Channel R may allow users to request or recommend songs.

Submitting a request does not guarantee that a song will be played.

Channel R may:

• Accept or reject requests
• Limit requests
• Establish request frequency limits
• Remove requests
• Prioritize or deprioritize requests
• Modify programming
• Restrict access to requesting features

Programming decisions remain solely within Channel R's discretion.

08Voting, Power Votes and Fan Quest

Channel R may provide voting, Fan Quest, Power Votes, rankings, points, nominations, and other listener-participation features.

You agree that participation must be genuine and personal.

You may not:

• Use bots
• Use scripts
• Use automated voting systems
• Create accounts for the purpose of manipulating results
• Purchase or sell votes or points
• Circumvent voting limits
• Manipulate rankings
• Exploit technical vulnerabilities
• Use fraudulent methods to obtain points or participation benefits

Channel R may invalidate votes, points, requests, rankings, or other activity that it reasonably believes resulted from manipulation, fraud, automation, abuse, or violation of these Terms.

Channel R's determination regarding the validity of participation may be final for purposes of the applicable program.

09Fan-Created Events

Channel R may allow users to create or organize fan listening events.

You are responsible for the information and content associated with events you create.

You may not create events that:

• Violate these Terms
• Infringe another person's rights
• Misrepresent Channel R or an artist
• Facilitate unlawful activity
• Promote harassment or abuse
• Contain malicious or deceptive material

Creating an event does not give you authority to represent Channel R, an artist, record label, or other third party.

10Intellectual Property

The Channel R Services and their content, excluding user-generated content, may include:

• Software
• Designs
• Logos
• Trademarks
• Graphics
• Text
• Audio
• Video
• Music-related materials
• Programming
• Features
• Other intellectual property

These materials are owned by Channel R or its licensors and are protected by applicable intellectual-property laws.

You may use the Services only for their intended purposes and in accordance with these Terms.

You may not copy, reproduce, distribute, modify, reverse engineer, sell, or commercially exploit Channel R's proprietary materials except as expressly permitted by law or by Channel R.

11Music and Third-Party Content

Channel R may provide access to music, artist information, streaming content, videos, links, or other third-party materials.

Third-party content may be subject to separate terms, licenses, restrictions, and rights.

Channel R does not necessarily control third-party content or services.

You agree to comply with applicable third-party terms when using those services.

12Premium Services

Channel R may offer Premium subscriptions or other paid features.

Premium features may include, depending on the current offering:

• Fan Radio features
• Listening parties
• Chat
• Enhanced song requests
• Song and artist alerts
• Voting features
• Nominations
• Other Premium features

Pricing, trial periods, renewal terms, and available features will be presented at the time of purchase.

Channel R may change Premium features or pricing, subject to applicable law and any required notice.

13App-Store Subscriptions

If you purchase a subscription through Apple or Google, the subscription may be subject to the applicable app-store terms.

Subscriptions may automatically renew unless canceled in accordance with the applicable app-store procedures.

You are responsible for managing your subscription through the applicable platform.

Deleting your Channel R account does not necessarily cancel an Apple or Google subscription.

Refunds may be subject to the applicable app store's policies and procedures.

14Prohibited Conduct

You may not use the Channel R Services to:

• Violate any law
• Infringe intellectual-property rights
• Harass or threaten others
• Impersonate another person
• Access another user's account
• Collect personal information without authorization
• Send spam
• Distribute malware
• Interfere with the Services
• Reverse engineer the App except where legally permitted
• Circumvent security controls
• Manipulate voting or rankings
• Manipulate Fan Quest
• Circumvent request limits
• Use bots or automated systems without authorization
• Create fraudulent accounts
• Exploit bugs or vulnerabilities
• Attempt to gain unauthorized access
• Engage in activity that could damage Channel R or its users

15Enforcement

Channel R may investigate suspected violations of these Terms.

Depending on the circumstances, Channel R may:

• Remove content
• Cancel requests
• Invalidate votes
• Remove points
• Restrict features
• Restrict Fan Radio participation
• Suspend accounts
• Terminate accounts
• Block access
• Take other reasonable measures

We are not obligated to provide advance notice when immediate action is reasonably necessary to protect Channel R or its users.

16Privacy

Your use of the Channel R Services is also governed by our Privacy Policy.

The Privacy Policy explains:

• What information Channel R collects
• How we use information
• How information may be shared
• Data retention
• Account deletion
• Privacy rights
• Fan Radio information practices

17Third-Party Services

The Channel R App may contain links, integrations, advertisements, or connections to third-party services.

Channel R is not responsible for third-party services that we do not control.

Your use of those services may be subject to separate terms and privacy policies.

18Service Availability

Channel R strives to provide reliable Services but does not guarantee that the App or any particular feature will always be available.

Services may be interrupted because of:

• Maintenance
• Updates
• Technical problems
• Network problems
• Third-party outages
• Security incidents
• Changes in licensing or programming
• Circumstances beyond our reasonable control

Channel R may modify or discontinue features at any time.

19Disclaimer of Warranties

To the maximum extent permitted by law, the Channel R Services are provided on an "as is" and "as available" basis.

Channel R does not guarantee that:

• The Services will always be available
• The Services will be uninterrupted
• The Services will be error-free
• Information will always be accurate or complete
• Requests will be played
• Votes will produce a particular result
• Fan-created events will occur as planned
• Third-party services will remain available

Nothing in these Terms limits warranties or rights that cannot legally be excluded.

20Limitation of Liability

To the maximum extent permitted by applicable law, Channel R and its owners, employees, affiliates, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Services.

Where liability cannot be excluded, it will be limited to the maximum extent permitted by applicable law.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

21Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Channel R and its owners, employees, affiliates, contractors, licensors, and service providers from claims, damages, liabilities, costs, and expenses arising from:

• Your violation of these Terms
• Your misuse of the Services
• Your user-generated content
• Your violation of another person's rights
• Your violation of applicable law

22Account Termination

You may stop using the Channel R App at any time.

Channel R may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or abusive activity
• Your activity threatens the security of the Services
• Your account is used for unlawful purposes
• We are required to do so by law
• We discontinue the applicable service

Termination may result in loss of access to your account, Fan Radio activity, Premium features, points, rankings, requests, playlists, events, or other account-associated information.

Termination does not necessarily eliminate obligations that by their nature should survive termination.

23Changes to These Terms

We may update these Terms from time to time.

When we update them, we will revise the "Last Updated" date.

If changes are material, we may provide additional notice where required.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

24Governing Law

These Terms will be governed by applicable law, subject to any mandatory consumer-protection laws that apply to you.

If a provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
